Founder CEO transition risks in PE When should founders step down in PE-backed companies?

Cowen Partners Research Featured on Hunt Scanlon: PE Succession Risk

Cowen Partners’ latest research is featured on Hunt Scanlon Media, applying findings from our Leadership Inflection Point report to a challenge private equity is only beginning to reckon with: the executive retirement wave now collides directly with the compressed timeline of a fund’s hold-and-exit cycle.

The piece opens with a scenario that captures the risk. A portfolio company is acquired in 2022 with a proven 57-year-old CEO at the center of the value-creation plan. Three or four years later, as the investment approaches exit, that CEO is entering the age range where senior executives statistically begin retiring. If they leave before the sale closes, the fund isn’t just managing a leadership gap. It’s sourcing a replacement from the same tightening market every other fund is drawing from.

The data is striking. In 2025, 84% of new S&P 1500 CEOs were first-timers, and that pace is accelerating into 2026, with first-time leaders now stepping into roles at global giants like Disney and Walmart.

The analysis draws on our study of CEO and CFO ages across 50 S&P 500 companies, validated against a separate Fortune analysis of the Russell 3000 and federal labor data: 42% of current CEOs are 60 or older, a quarter of CFOs are within five years of retirement, and 33.7% of the top two seats sit inside the retirement window at once. Against an average seven-year PE hold and a retirement wave running into the early 2030s, those timelines are converging.

The piece also lays out our central argument about the fix. Recycling proven operators between portfolio companies makes sense on any single deal, but it doesn’t expand the pool, it just shifts the same executives around while the shortage tightens. The firms that win the next decade won’t be the ones that source the best replacement when a seat opens. They’ll be the ones that treat leadership development as part of the investment thesis, auditing VP- and SVP-level talent across the portfolio to build a proprietary bench years before a transition becomes urgent.
