Shawn Cole on ESOPs as PE Exit Strategy: Why Employee Ownership is Gaining Traction

Cowen Partners Executive Search President Shawn Cole was quoted in Mergermarket, providing expert analysis on why employee stock ownership plans (ESOPs) are gaining traction as an alternative exit path for private equity firms navigating longer hold periods and pricing gridlock.

In the article “Selling to workers gains traction among private equity,” Mergermarket’s Deborah Balshem explored how ESOPs—long used as succession tools for founder-led businesses—are emerging as a viable liquidity option as traditional PE exits become harder to execute.

Here are some key insights from Shawn’s commentary.

      Why ESOPs Are Gaining Momentum

“ESOP-backed transactions are gaining traction because they offer an exit in a market defined by longer holds, fewer buyers, and continued pressure to return capital,” Shawn explained. The structure lets companies effectively buy themselves using future cash flow, providing sponsors with a full or partial off-ramp until other exit options emerge.

      The Structural Advantage

ESOPs offer a workaround when buyers and sellers can’t agree on price. The model provides liquidity today with upside deferred, allowing businesses to continue compounding value until broader exit conditions improve.

      Not Every Company Fits

Shawn cautioned that businesses with high leverage or inconsistent earnings can struggle under the additional debt often used to finance ESOP transactions.

“That level of scrutiny makes ESOP deals far more difficult to force through, especially when a company is overleveraged or the economics are not truly sustainable.”

      The Complexity Factor

Unlike conventional sales, ESOP valuations must support fair market value, fiduciaries must determine compliance, and the structure must satisfy tax rules governing leveraged ESOP loans. This complexity creates both opportunity and execution risk.

      Best-Fit Scenarios

The model works best in cash-generative, people-driven sectors including industrial services, specialty manufacturing, engineering and professional services, and business services niches where employee retention and continuity are critical to performance.

The Mergermarket article noted that while few expect ESOPs to replace traditional exits, they’re becoming an increasingly important part of the PE toolkit. As exits take longer and certainty becomes more valuable than upside, firms are showing greater willingness to experiment with structures that once seemed unconventional.

Shawn’s insights provide critical context for PE firms evaluating alternative liquidity paths and understanding when employee ownership structures make strategic and economic sense.
