Cowen Partners Executive Search President Shawn Cole was recently quoted in CFO Dive’s coverage of the compensation and retention dynamics surfacing in the wake of SpaceX’s historic $2.1 trillion IPO.
In the article “SpaceX ties CFO stock, comp to EBITDA targets,” CFO Dive’s Grace Noto turned to Shawn to unpack a problem that success creates: when a long-tenured executive suddenly becomes a billionaire, keeping them in the seat gets a lot harder.
SpaceX CFO Bret Johnsen, a 15-year veteran of the company, saw his net worth vault to roughly $1.4 billion when shares priced.
Wealth Creates a Retention Problem: Once an executive reaches that level of personal wealth, retention becomes a genuine challenge. Shawn pointed to the obvious precedent: Zach Kirkhorn, who walked away from Tesla’s CFO role with a net worth around $590 million. His read on whether Johnsen stays long term was blunt, raising the question of why he would.
Watch the Comp Structure for Clues: Shawn advised that anyone trying to gauge the staying power of SpaceX’s finance leadership should look closely at the retention incentives baked into the post-IPO compensation, including how much of Johnsen’s wealth is tied to continued service or future performance.
The EBITDA Tie-In Makes Sense, With Caveats: SpaceX structured a portion of Johnsen’s options to vest against adjusted EBITDA targets. Shawn noted this is a logical choice for capital-intensive, high-growth companies where meaningful free cash flow may take years to materialize, making EBITDA a more practical performance measure. He added that performance options tied to very large, absolute EBITDA tranches are more typical of private equity-backed and pre-public companies than public ones.
A Different Kind of Public Company: Because retail investor participation in the IPO was limited, Shawn observed that the compensation structure may avoid the broad retail pressure a more traditional offering would attract, though it will still face scrutiny as the company adjusts to public-market disclosure and expectations.
Shawn’s commentary offers a window into how compensation design, retention strategy, and executive wealth intersect at one of the most closely watched IPOs in years.
